CERTIFICATION AND AGREEMENT

Being a Subject Matter Expert obligates the participant to commit to be active in all work of test development, including attendance and participation at group meetings, contribution of information, prompt reply to emails requesting action, and on-time completion of assigned tasks. The undersigned agrees to abide by the policies and procedures of the Building Performance Institute (BPI) and attests that the information provided in this application is true and accurate.

The undersigned hereby agrees that his or her authorship contributions to BPI in connection with work performed as a Subject Matter Expert are considered to be works for BPI. To the extent that the undersigned retains any rights in copyright as to such authorship contributions, the undersigned hereby grants and assigns to BPI all such rights. The undersigned understands that he or she will have no rights in any BPI publications that use such contributions by the undersigned and certifies to the best of his or her knowledge that such contributions are not protected by the copyright of any other person or entity.

CONFLICT OF INTEREST FORM
BPI Subject Matter Experts

I, certify that I am not aware of any matters that might affect my ability to participate in an objective and unbiased manner, or which might place me in a position of conflict, real or apparent, between my responsibilities to the BPI certificate and/or certification development committee I participate in, and my other interests.

In signing this form, I have considered all my financial interests and investments, employment arrangements, past, present, or under consideration and, to the extent known by me, all the financial interests and employment arrangements of my spouse, my minor children, and other members of my immediate household.

I will not participate in any activity under the agreement of my participation in the certificate and/or certification development committee that would cause a reasonable person with knowledge of the relevant facts to question my impartiality. If I conduct training or develop curriculum related to the job task analysis (JTA) for which I am helping to write or review certificate and/or certification exam items, I will ensure that I do not disclose or imply any knowledge I have gained of the specific content of the examinations. To avoid a conflict of interest, I will not develop or conduct any exam preparation coaching for the exam I helped to write or review. This provision does not include general knowledge or JTA-based training courses.

I understand that I have a continuing obligation to disclose any circumstances that may create an actual or apparent conflict of interest. If any real or apparent conflict arises, I will notify BPI immediately, and thereafter, until advised to the contrary, I will not participate further in any way (by rendering advice, making recommendations, voting, or otherwise) in the work of the certificate and/or certification development committee and I will destroy or return any confidential information shared with me.

BPI SUBJECT MATTER EXPERT (SME)
NON-DISCLOSURE AGREEMENT (NDA) AND CONFIDENTIALITY AGREEMENT

This Agreement is entered into by and between the Building Performance Institute, Inc. (BPI) located at 63 Putnam Street, Suite 202, Saratoga Springs, NY 12866 and , whose physical address is:

The effective date of this Agreement shall be the date of submission.

Whereas BPI looks to create or update its certificate programs and/or certifications;

Whereas, BPI is working with Subject Matter Experts (SMEs) to accomplish this task, which involves convening volunteers to serve on committees that are tasked to develop items such as a Job Task Analysis, exam blueprint, and/or items for the certification and/or certificate exams;

Whereas, BPI will conduct face-to-face and/or remote web-based meeting(s) with SMEs to complete the task;

Whereas the Committee Member wishes to voluntarily contribute his/her time to the development (the "Services") of BPI Job Task Analysis, exam blueprint, and/or items for certificate or certification examinations (the "Work").

Now, therefore, for and in consideration of the mutual covenants and undertaking hereinafter set forth and other good and valuable consideration hereby acknowledged, it is agreed as follows:

  1. The Parties acknowledge that the Work shall be treated as CONFIDENTIAL INFORMATION
  2. As used herein, CONFIDENTIAL INFORMATION means information which (i) embodies trade secrets as defined under 18 U.S.C. 1839 ir (ii) commercial or financial information which is privileged or confidential under the Freedom of Information Act (5 U.S.C. 552(b)(4)).
  3. All intellectual property rights in whole or in part, provided to BPI under this Agreement, shall be the sole property of BPI. The Committee Member hereby assigns all right, title, and interest in and-to-and exclusive ownership in such Services to BPI and the Committee Member shall take all actions necessary to transfer exclusive ownership of the same to BPI. The Parties agree that any product created, and/or prepared by the Committee Member under this Agreement shall in all respects be considered a "work made for hire" within the meaning of the federal copyright laws and that no other right in this work shall inhere in the Committee Member, or in the Committee Member's employer, representatives, heirs, or assigns. The Work shall be owned by BPI and BPI may, at its option and expense, seek copyright registration for the Work. As owner of the copyright, BPI shall have all rights attendant to that ownership, including but not limited to, rights of reproduction, preparation of derivative works, distribution, and display.
  4. The Committee Member shall not disclose the CONFIDENTIAL INFORMATION to any third party for a period of six (6) years from the effective date of this Agreement.
  5. The Committee Member shall destroy all notes or other materials created during the meetings following completion of the Work and shall not replicate or reproduce the Work from the effective date of this Agreement.
  6. As appropriate, either Party may terminate this Agreement with or without cause by giving the other party seven (7) days prior written notice.
  7. Notwithstanding the above, the obligations of confidentiality set forth in Paragraph 4, herein, will survive termination of this Agreement.
  8. This Agreement contains the entire understanding between the Parties and it supersedes all prior or contemporaneous communications, agreements or understandings between the Parties concerning BPI's receipt of CONFIDENTIAL INFORMATION for the purposes set forth herein above. The parties acknowledge that this Agreement may be executed in a number of counterparts and the sum of said counterparts shall represent a fully executed document. The Parties further acknowledge that facsimile and/or digital signatures are fully binding and constitute a legal method of executing this Agreement.
I agree to the terms of the Non-Disclosure Agreement and Confidentiality Agreement.
